1 General
These terms and conditions apply in preference to and supersede any terms and conditions referred to, offered or
relied on by Sigma Networks Limited, whether in negotiation, or at any stage in the dealings between Sigma Network
Installations and the buyer.
2 Liability
(a) No liability whatsoever shall be incurred by Sigma Networks Limited in respect of any representation made by
Sigma Networks Limited or its agents before the contract was made, where such representation referred or related to:-
- The correspondence of the goods or services to any description;
- The quality of the goods or services;
- The fitness of the goods or services for any purpose whatsoever.
(b) No liability whatsoever shall be incurred by Sigma Networks Ltd to the buyer in respect of any express term of
the contract whether a condition, warranty or intermediate stipulation, where the said term refers or relates in any
way to:-
- The correspondence of the goods or services to any description;
- The quality of the goods or services;
- The fitness of the goods or services for any purpose whatsoever.
3 Price
The price of the goods or services shall be the price quoted by Sigma Networks Ltd prior to said goods or services
being delivered or completed.
4 Payment
Payment for goods or services is due 30 days after completion of work or delivery of goods, unless otherwise stated
on the invoice.
5 Late Payment
If payment of the price or any part thereof is not made by the due date, Sigma Networks Limited, without prejudice
to any other right or remedy available, shall be entitled to:-
- Charge interest (both before and after any judgement);
- Require payment in advance of delivery for any other goods or services ordered;
- Refuse delivery of any undelivered goods and/or refuse to complete any unfinished works, and terminate
any contract.

6 Risk
The risk in the goods or services will pass to the buyer at the time of delivery or, if the buyer wrongfully
fails to take delivery of the goods, the time when Sigma Networks Ltd has tendered delivery of the goods.
7 Insolvency of the Buyer
In any of the following events, then, without prejudice to any other right or remedy available, Sigma Networks
Limited shall be entitled to cancel any contract or suspend any further deliveries or continuation of works under
the contract, without any liability to the buyer, and if the goods had not been delivered and not paid for, the
price shall become immediately due and payable, not withstanding previous arrangement to the contrary:-
- The buyer makes any voluntary arrangements with its creditors or becomes subject to an administration order,
or becomes bankrupt, or goes into liquidation, otherwise than for the purpose of amalgamation or reconstruction or:-
- An encumbrancer takes possession, or a receiver is appointed to any of the property or any of the assets of the
buyer or:-
- The buyer ceases or threatens to cease carrying on business or:-
- Sigma Networks Limited reasonably apprehends that any of the above events is about to occur.
8 Title of Goods
The title of all goods and materials remains with Sigma Networks Ltd until full payment has been received and
cleared.
